How the Structure Works
EB-5 investors contribute capital to a New Commercial Enterprise (NCE), which provides that capital — as a loan or an equity investment — to a Job-Creating Entity (JCE) that develops and operates the project.
Key Terms
Regional Center
The USCIS-designated entity authorized to sponsor EB-5 offerings and pool capital from multiple investors within its approved geography.
New Commercial Enterprise (NCE)
The entity that receives investor capital and either lends it to, or takes an equity stake in, the project's Job-Creating Entity.
Job-Creating Entity (JCE)
The operating entity directly responsible for developing or running the project and its employment.
Issuer
The legal entity offering the security to investors — typically the NCE.
Manager
The entity or individuals responsible for day-to-day management decisions of the NCE or JCE.
Developer
The entity responsible for construction and delivery of the physical project — SKR Madhav Developers, for EB5SETU projects.
Fund Administrator
An independent party that can provide oversight of fund accounting and disbursements, separate from the developer.
Economist
The independent professional who prepares the job-creation methodology and economic report submitted to USCIS.
Migration Agent
A licensed professional who assists prospective investors, particularly overseas, with the immigration side of the process.
Escrow Arrangement
A structure where a neutral third party holds investor funds until specified release conditions are met.
Senior Lender
A lender whose debt sits ahead of EB-5 capital in repayment priority within the capital stack.
Bridge Financing
Short-term financing used ahead of EB-5 capital being raised, often repaid once EB-5 funds are available.
